  3. Confirm authorisations and capacity
    Ensure that the company has valid corporate power to enter into the transaction and that all necessary approvals have been obtained.

  4. Cross-check representations and facts
    Compare statements made by the client or other parties with independent records, public filings, or certificates.

  5. Identify assumptions and qualifications
    When certain facts cannot be verified directly (for example, that a signature is genuine), the advokat will include these as explicit assumptions in the opinion.

Accuracy over Speed

Unlike general legal advice, a formal opinion cannot rely on unverified information or guesswork.
If the factual foundation is uncertain, the advokat must either delay issuance or narrow the opinion’s scope.
